1. Acceptance of Terms

Welcome to WE368! These Terms of Service ("Terms") constitute a legally binding agreement between you and WE368 Sdn Bhd ("WE368", "we", "us", or "our") regarding your use of our rewards platform, mobile application, website, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use our Services.

2. Eligibility

To use WE368 Services, you must:

• Be at least 18 years of age
• Be a resident of Malaysia
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using our Services under applicable laws

By registering, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing:

• Valid email address or phone number
• Full name as per identification documents
• Date of birth
• Other information as required for verification

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

3.3 Account Restrictions

You may not:

• Create multiple accounts for the same person
• Share your account with others
• Transfer or sell your account
• Use another person's account without permission

4. WE368 Rewards Program

4.1 Earning Points

You earn WE368 points by:

• Making eligible purchases at partner merchants
• Participating in promotional activities
• Referring friends (when applicable)
• Completing special offers or surveys

4.2 Points Calculation

• Points are typically earned at a rate of 1 point per RM1 spent, unless otherwise specified
• Different merchants may offer different earning rates
• Bonus points and promotional multipliers may apply
• Points are usually credited within 48 hours of eligible transactions

4.3 Points Validity

• Points expire 24 months from the date of earning
• Expired points cannot be restored
• We will send reminders before points expire
• Activity on your account may extend point validity

4.4 Points Redemption

You may redeem points for:

• Vouchers and gift cards
• Discounts at partner merchants
• Products from our rewards catalog
• E-wallet transfers (subject to minimum amounts)

Redemption rules:

• Minimum redemption thresholds apply
• Redeemed points cannot be reversed
• Rewards are subject to availability
• Processing time varies by reward type (typically 1-7 business days)

4.5 Points Restrictions

Points:

• Have no cash value
• Cannot be sold, transferred, or bartered
• Cannot be combined with certain other promotions
• May be forfeited if account is terminated

5. Eligible and Ineligible Transactions

5.1 Eligible Transactions

Points are earned on qualifying purchases made with registered payment methods at participating merchants.

5.2 Ineligible Transactions

Points are NOT earned on:

• Purchases of gift cards or prepaid cards
• Bill payments and money transfers
• Gambling or lottery transactions
• Cash advances and balance transfers
• Fraudulent or disputed transactions
• Returns, refunds, or cancelled orders
• Taxes, fees, and service charges (unless specified)

6. Program Modifications and Termination

6.1 Program Changes

We reserve the right to:

• Modify earning rates and redemption values
• Add or remove partner merchants
• Change reward offerings
• Adjust program terms and conditions
• Discontinue the program entirely

We will provide reasonable notice of material changes, typically 30 days in advance.

6.2 Account Termination

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• You abuse the program or attempt to game the system
• You provide false information
• Your account is inactive for an extended period (2+ years)

Upon termination, all accumulated points will be forfeited.

7. Prohibited Activities

You agree NOT to:

• Manipulate or exploit the points system
• Create fake transactions to earn points
• Use unauthorized bots, scripts, or automation
• Engage in fraudulent or illegal activities
• Harass, abuse, or harm other users or staff
• Violate any applicable laws or regulations
• Interfere with the operation of our Services
• Attempt to hack or breach our security
• Collect user information without consent
• Impersonate others or misrepresent your identity

8. Partner Merchants

Our partner network includes various merchants. Please note:

• Merchant participation is subject to change without notice
• Each merchant has its own terms, policies, and practices
• We are not responsible for merchant products, services, or policies
• Disputes with merchants should be resolved directly with them
• Merchant offerings and promotions may vary

9. Intellectual Property

9.1 Our Property

All content, features, and functionality of the Services, including but not limited to:

• Software, code, and technology
• Text, graphics, logos, and images
• Trademarks, service marks, and trade names
• Design, layout, and user interface

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes, subject to these Terms.

9.3 Restrictions

You may not:

• Copy, modify, or distribute our content
• Reverse engineer or decompile our software
• Remove copyright or proprietary notices
• Use our trademarks without permission

10. Disclaimers and Limitations of Liability

10.1 Service Availability

Our Services are provided "as is" and "as available." We do not guarantee:

• Uninterrupted or error-free operation
• Availability of specific merchants or rewards
• Accuracy of point calculations (though we strive for accuracy)
• Compatibility with all devices or platforms

10.2 Limitation of Liability

To the maximum extent permitted by law, WE368 and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Errors, omissions, or interruptions in service
• Unauthorized access to or alteration of your data
• Actions of third parties, including merchants

Our total liability for any claim shall not exceed the value of points in your account or RM100, whichever is less.

10.3 Exceptions

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by Malaysian law

11. Indemnification

You agree to indemnify, defend, and hold harmless WE368 and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of others
• Your fraudulent or illegal activities

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration under the Asian International Arbitration Centre (AIAC) rules, except where prohibited by law.

12.3 Exceptions

Either party may seek injunctive relief in court for:

• Intellectual property disputes
• Violations that cause immediate harm
• Small claims court matters (under RM25,000)

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WE368 regarding the Services.

13.2 Amendments

We may modify these Terms at any time. Significant changes will be communicated via email or app notification. Continued use after changes constitutes acceptance.

13.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

13.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13.5 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.

13.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or technical failures.
